Vetly Terms of Use

1. Introduction

1.1 Purpose of the Terms

These Terms of Use ("Terms") set forth the rules and conditions governing the use of the website www.vetly.online ("Vetly" or "the Platform"), which is operated and published by CTM Informatics Software INC.. The purpose of these Terms is to define the rights, responsibilities, and obligations of both Vetly and the users ("you," "your," or "User") in relation to the AI-powered pet health guidance services, digital tools, and related technologies offered through the Platform. By outlining the framework for the use of Vetly, these Terms aim to ensure transparency, security, and lawful interaction between the Platform and its Users, in compliance with applicable international and local regulations, including but not limited to the Law on the Protection of Personal Data ("KVKK") and relevant Turkish and global data protection laws.

1.2 Acceptance of the Terms

By accessing or using Vetly, creating an account, using the Platform, submitting pet health queries, uploading photos, or otherwise interacting with the Platform's AI-based guidance features, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with the Privacy Policy and any other supplementary policies or guidelines that may apply. If you do not agree with any provision of these Terms, you must immediately cease using the Platform. Continued use of the Platform constitutes full acceptance of the Terms in force at the time of use.

Users who act on behalf of legal entities declare and warrant that they are duly authorized to accept these Terms on behalf of their organization.

1.3 Updates and Modifications

Vetly reserves the right to update, revise, or modify these Terms at any time, at its sole discretion. Such modifications may reflect changes in our services, the introduction of new features, compliance with legal requirements, or updates to operational practices. All revisions will be published on the official website, and the "Last Updated" date at the top of the document will indicate the effective version. Users are encouraged to review these Terms periodically. Continued use of the Platform following any modification shall be deemed to constitute acceptance of the updated Terms. If a User does not agree with the revised version, their sole remedy is to discontinue use of the Platform.

2. About Vetly

2.1 Platform Overview

Vetly is an AI-powered pet health guidance platform designed to help pet owners better understand their animals' health, behavior, and care needs. The Platform enables Users to consult an AI assistant by describing symptoms or concerns in plain language, uploading photos of visible conditions or injuries, and receiving personalized guidance based on their pet's profile. Vetly covers a wide range of pet health conditions and is available twenty-four (24) hours a day, seven (7) days a week.

The Platform operates as an informational and guidance tool. Vetly does not sell physical goods or veterinary products; it provides access to AI-based pet health guidance tools that operate on a free and subscription-based model. Vetly is not a licensed veterinary service, does not employ veterinarians, and does not provide medical diagnoses or treatment. All guidance provided through the Platform is for informational and preparatory purposes only.

2.2 Publisher Information

Vetly is owned, developed, and operated by its founding team. Vetly is responsible for the technical infrastructure, operation, and maintenance of the Platform. While Vetly ensures the stability and security of its infrastructure, the AI models and outputs accessible through the Platform may be powered by third-party AI providers whose technologies are integrated via APIs or other data exchange mechanisms.

2.3 Target Audience and Global Scope

Vetly is designed for pet owners, caregivers, and animal enthusiasts worldwide who seek accessible, AI-assisted guidance on pet health and wellbeing. The Platform's services are available internationally, and Users from all jurisdictions are welcome to register and utilize the Platform, provided that their use complies with applicable local laws and regulations.

Given the cross-border nature of AI technologies and data processing, Vetly emphasizes transparency, ethical standards, and lawful use in all interactions with Users, regardless of their location. By engaging with the Platform, Users acknowledge that their activities may involve international data transfers and processing as part of the Platform's global operational model.

2.4 Medical Disclaimer

IMPORTANT: Vetly is not a substitute for professional veterinary care. The AI-generated guidance provided through the Platform is intended solely to help pet owners prepare for veterinary consultations, assess urgency, and better understand their pet's condition. It is not a veterinary diagnosis, a prescription, or medical advice. Users must always consult a licensed veterinarian for any medical decisions regarding their pets. Vetly expressly disclaims any liability arising from reliance on Platform guidance in lieu of professional veterinary care.

3. Account Registration and Access

3.1 User Eligibility

Use of Vetly is open to natural persons who are at least eighteen (18) years of age or the legal age of majority in their country of residence, whichever is greater. By registering an account or otherwise using the Platform, you represent and warrant that you meet these eligibility requirements and that you have the full legal capacity and authority to enter into and comply with this binding agreement.

Individuals who are below the legal age of majority may use the Platform only under the direct supervision and consent of a parent or legal guardian, who accepts full responsibility for the minor's actions, account activity, and compliance with these Terms. Vetly reserves the right to require proof of age or parental consent at any time and to restrict access where such proof is not provided or verified.

If you are using the Platform on behalf of a company, organization, or other legal entity, you further represent and warrant that you are duly authorized to act for and bind that entity to these Terms.

3.2 Account Creation and Security

Certain features of Vetly, including saving pet profiles, accessing chat history, and managing a subscription, require the creation of a personal account. During registration, Users must provide accurate, complete, and current information, including their email address and a password. Any use of false, misleading, or impersonated information may result in immediate account suspension or termination.

Each User is solely responsible for safeguarding their login credentials. Vetly strongly encourages Users to adopt strong and unique passwords. You agree not to disclose your credentials to any third party or allow others to use your account. Vetly shall not be liable for any unauthorized access or actions performed through your account resulting from your failure to maintain adequate security controls.

Users must immediately notify Vetly at support@vetly.online of any suspected unauthorized use, security breach, or compromise of their account credentials. Vetly reserves the right to suspend account access temporarily while investigating such incidents.

Please note that Vetly also allows limited use without account creation. Users who access the Platform without an account may submit up to three (3) questions and create one (1) pet profile. All features requiring account persistence, including subscription management and chat history, require account registration.

3.3 Account Responsibilities

Users are fully and solely responsible for all activities carried out under their account. By using the Platform, you agree to operate in good faith and only for lawful and ethical purposes consistent with these Terms and all applicable laws. Users agree not to share, lease, sell, sublicense, or otherwise transfer their account access to any third party without Vetly's prior written approval.

Users are also responsible for ensuring that all uploaded content, pet information, photos, and documents used in connection with AI guidance comply with applicable copyright, trademark, and data privacy regulations. Vetly disclaims any responsibility for content submitted by Users and assumes no liability for damages, legal claims, or losses resulting from such activity.

3.4 Account Suspension or Termination

Vetly reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate a User's account if it determines that the User has violated these Terms, engaged in fraudulent, unlawful, or abusive activity, or acted in a way that threatens the security, integrity, or reputation of the Platform.

Vetly may also terminate access if required by law, government order, or regulatory authority. Users will be notified where appropriate, unless prohibited by law or necessary for security reasons.

Users may voluntarily terminate their account at any time through the Platform's user interface or by submitting a written request to Vetly. Upon termination, whether voluntary or initiated by Vetly, all rights to access the Platform and its services shall cease immediately. Any active Premium subscription will be cancelled at the end of the current billing cycle in accordance with the cancellation policy.

Upon termination, Vetly may, in accordance with its data retention policies and applicable regulations, delete or anonymize all personal data, user-generated content, and account history, except where retention is legally required or necessary for dispute resolution, fraud prevention, or compliance purposes.

4. Free Access and Subscription Terms

4.1 Free Tier

Vetly offers a Free tier of access at no charge, which provides Users with the following features:

  • Up to three (3) questions submitted to the AI guidance system;
  • Creation and management of one (1) pet profile;
  • Basic symptom guidance; and
  • Urgency assessment functionality.

The Free tier is available to all Users without account registration. However, access to persistent features such as saved chat history requires account creation. Free tier access is provided as is and may be modified, limited, or discontinued at Vetly's sole discretion without prior notice or compensation.

4.2 Premium Subscription

The Premium subscription is available at a price stated over the Platform and provides Users with the following expanded features:

  • Unlimited questions submitted to the AI guidance system;
  • Unlimited pet profiles;
  • Photo and document upload and analysis;
  • Symptom tracking history;
  • Vet visit summaries; and
  • Priority support.

The Premium subscription is a recurring, automatically renewing monthly subscription. By subscribing, you expressly authorize Vetly to charge your selected payment method at the beginning of each billing cycle until you cancel your subscription. Vetly reserves the right to update subscription pricing with advance notice to Users, as further described in Section 4.4 below.

4.3 Payment Methods and Processing

All payments for Vetly are processed by CTM Informatics Software INC., a Delaware (USA) corporation, operating as the authorized payment processor for Vetly.

By making a purchase on Vetly, you acknowledge and agree that:

  • Your payment will be processed by CTM Informatics Software INC. on behalf of Vetly
  • CTM Informatics Software INC. will appear on your bank or credit card statement
  • Payment processing is handled securely through Stripe payment infrastructure

All payments for the Premium subscription are processed through authorized third-party payment processors integrated into the Platform. Accepted payment methods include internationally recognized credit and debit cards and other payment options as presented at checkout. By completing a subscription purchase, the User expressly authorizes Vetly and its designated payment partners to debit the total subscription amount from the selected payment method on a recurring basis.

Users are responsible for ensuring that their payment information is accurate, valid, and current. In the event of a declined payment, Vetly may suspend or downgrade the User's subscription until payment is successfully processed. Repeated failed payment attempts may result in account restriction. Third-party payment processors operate under their own terms of service and privacy policies, which Users are encouraged to review. All financial data is transmitted via encrypted communication channels in compliance with applicable payment security standards.

4.4 Pricing Changes

Vetly reserves the right to revise subscription pricing at any time. Any pricing changes will be communicated to active subscribers in advance via email or in-Platform notification prior to the next billing date. Continued use of the Premium subscription after the effective date of a price change constitutes acceptance of the new pricing. If a User does not agree with the revised pricing, they may cancel their subscription before the price change takes effect.

4.5 Cancellation Policy

Users may cancel their Premium subscription at any time through their account dashboard prior to the next billing date. Cancellation will take effect at the end of the current billing cycle. The User will retain access to Premium features until the end of the paid period. No partial refunds will be issued for the unused portion of a billing cycle.

4.6 Refund Policy

All subscription purchases are generally considered final and non-refundable given the digital and immediately accessible nature of the service. However, Vetly may, at its sole discretion, consider refund requests on a case-by-case basis in exceptional circumstances, such as:

  • A duplicate charge caused by a verified technical error;
  • Failure of Premium features to activate following successful payment; or
  • A confirmed unauthorized transaction conducted without the User's consent.

Users requesting a refund must submit a written request to support@vetly.online within fourteen (14) days of the transaction date, providing proof of payment, transaction details, and a description of the issue. Refunds, where approved, will be processed to the original payment method within a reasonable period, typically not exceeding thirty (30) business days.

Refunds will not be granted for dissatisfaction with the AI guidance quality or outcomes, as the nature and scope of AI-generated responses are inherently variable and are disclosed in these Terms and the medical disclaimer. Vetly expressly disclaims any obligation to provide refunds resulting from service interruptions, internet connectivity issues, or third-party system outages beyond its reasonable control.

4.7 Currency and Taxation

All transactions on Vetly are processed in United States Dollars (USD). Users are responsible for any currency conversion or bank fees applied by their financial institution. Users are solely responsible for determining and paying any taxes that may arise from their use of the Platform or purchase of subscriptions, including value-added tax (VAT), goods and services tax (GST), or other levies. Vetly reserves the right to collect or withhold taxes as required by applicable law.

5. AI-Based Pet Health Guidance Services

5.1 Scope of AI Services

Vetly provides Users with access to an AI-powered pet health guidance system that enables conversational interaction for the purpose of understanding pet symptoms, behaviors, and health concerns. The Platform's AI capabilities include, but are not limited to:

  • Symptom analysis and plain-language explanations of potential health issues;
  • Photo and document analysis for visible skin conditions, injuries, or other observable concerns (Premium);
  • Personalized guidance based on the pet's species, age, breed, weight, and known health history;
  • Urgency assessment classifying situations as emergencies, scheduled veterinary visit recommendations, or safe-to-monitor-at-home scenarios;
  • Vet visit preparation, including symptom summaries the User may share with their veterinarian (Premium); and
  • Multi-pet profile management and symptom tracking history (Premium).

The Platform continuously evolves by integrating new AI capabilities and service modules. Users acknowledge that AI models are based on probabilistic algorithms and datasets that may not always produce consistent or expected outcomes. The AI tools are intended for lawful, informational, and preparatory use only.

5.2 Nature and Limitations of AI Guidance

Users expressly acknowledge and agree that all guidance provided by the Vetly AI system is:

  • Informational and preparatory in nature, intended to help Users understand their pet's condition and decide when to seek veterinary care;
  • Not a substitute for a licensed veterinarian's examination, diagnosis, or treatment plan;
  • Not a guarantee of accuracy or completeness, as AI-generated outputs are probabilistic and based on patterns in training data; and
  • Not tailored to account for all individual variables that a veterinarian would assess in a clinical examination.

Vetly does not warrant that AI-generated guidance will be accurate, timely, or free from error. Users should always consult a licensed veterinarian before making any medical decisions regarding their pets. In cases involving potential emergencies, Users should contact a veterinarian or emergency veterinary service immediately rather than relying solely on Platform guidance.

5.3 Photo and Document Analysis

The Platform allows Premium Users to upload photos and documents for AI-assisted visual assessment. By uploading such materials, Users represent and warrant that: (a) the content is their own or they have lawful authority to submit it; (b) the content does not infringe any third-party rights; and (c) the content does not contain personal data of third parties without appropriate consent.

Vetly may process uploaded photos and documents solely for the purpose of delivering the requested guidance. Photo analysis is provided as a supplementary informational tool and must not be relied upon as a clinical diagnosis. The quality, lighting, and angle of submitted photos may significantly affect the accuracy of AI-generated responses.

5.4 Third-Party AI Integrations

The AI functionalities offered on Vetly may be powered in whole or in part by third-party AI service providers. These providers deliver specialized models or computing frameworks integrated into the Platform's infrastructure. By using Vetly, Users acknowledge and consent that certain data, including queries, uploaded photos, and pet profile information, may be temporarily transmitted to or processed by third-party systems solely for the purpose of fulfilling the requested service.

Vetly disclaims liability for any interruption, delay, inaccuracy, or degradation of service resulting from third-party system failures, provider updates, or discontinued models. In the event that a third-party provider withdraws or modifies its service, Vetly may remove or replace the affected feature without prior notice.

5.5 Technical Limitations and No Warranty

Vetly makes no warranty, express or implied, regarding the accuracy, completeness, originality, or fitness for purpose of any AI-generated guidance. Users understand that AI systems may occasionally produce content that is incomplete, contextually inaccurate, or not aligned with the pet's actual condition.

It remains the User's sole responsibility to review AI-generated guidance and consult a licensed veterinarian before acting on any such guidance. The Platform may undergo scheduled maintenance, performance tuning, or temporary service interruptions. Vetly shall not be liable for delays or temporary unavailability arising from such operational necessities.

6. User-Generated Content and Responsibilities

6.1 Uploading Photos, Documents, and Submitting Pet Data

Vetly allows Users to upload photos, documents, and other materials and to submit pet profile information and health queries. By submitting such content, Users grant Vetly a limited, non-exclusive, revocable, and royalty-free license to process, store, and use the uploaded materials solely for the purpose of delivering the requested AI guidance service or improving Platform performance. This license does not grant Vetly any ownership or publication rights beyond those necessary to operate the Platform.

Users must ensure that all uploaded materials are lawful, free from harmful code, and do not infringe on the rights of any third party. Vetly may, at its discretion, screen, restrict, or remove any uploaded content that violates these Terms or applicable laws. Vetly is not obliged to actively monitor all uploaded materials and assumes no liability for any content provided by Users.

6.2 Legal Use and Compliance

All activities conducted on Vetly must comply with all applicable local, national, and international laws. Users are solely and entirely responsible for ensuring that their access to and use of the Platform conforms to the laws and ethical standards of their jurisdiction. Vetly expressly disclaims liability for any use of the Platform that results in the violation of local or international law by the User.

The Platform may not be used for any activity that is illegal, unethical, or intended to deceive. Users are prohibited from submitting false or misleading pet health information to manipulate the AI guidance system, from misrepresenting AI-generated guidance as professional veterinary advice, or from using the Platform in any manner that could harm other Users or third parties.

When uploading or submitting personal data — whether belonging to the User or a third party — the User confirms that they have obtained all necessary consents and authorizations required under applicable data protection laws, including the Law on the Protection of Personal Data (KVKK), the General Data Protection Regulation (GDPR), and equivalent international privacy frameworks.

6.3 Prohibited Uses and Content

Users are strictly prohibited from using Vetly to generate, upload, store, or distribute any material or data that violates applicable laws, regulations, or ethical standards. Specifically, Users agree not to use the Platform to:

  • Violate or circumvent any law, regulation, or binding court order;
  • Infringe upon any copyrights, trademarks, trade secrets, or other intellectual property rights;
  • Upload photos or documents depicting abuse, mistreatment, or cruelty to animals;
  • Submit fraudulent, false, or misleading pet health information;
  • Attempt to reverse-engineer, decompile, or extract the source code, datasets, or architecture of any AI model used by the Platform;
  • Scrape, harvest, or mass-download content from the Platform;
  • Bypass usage restrictions or subscription systems; or
  • Engage in unauthorized automation or bot activity.

Any such action constitutes a material breach of these Terms and may result in immediate account suspension or termination, forfeiture of any subscription access, and potential legal action.

6.4 Intellectual Property in Submitted Content

Users retain full ownership and control over the input materials they upload to the Platform, including photos, documents, and pet data. By submitting such materials, Users represent and warrant that: (a) they are the lawful owner or have authorization to submit the content; (b) the content does not infringe any third-party rights; and (c) the content complies with applicable law.

Vetly does not claim ownership of any content submitted by Users. The underlying AI models, algorithms, and interfaces remain the exclusive intellectual property of Vetly or its licensors.

6.5 User Liability and Indemnification

Users are fully, solely, and irrevocably liable for all content they upload, submit, or otherwise make available through the Platform. By submitting inputs and using the Platform's AI tools, the User expressly agrees to indemnify, defend, and hold harmless Vetly, its affiliates, officers, directors, employees, licensors, agents, and partners (collectively, "Vetly Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Any content uploaded or submitted by the User;
  • The User's misuse or unauthorized use of the Platform;
  • Any violation or alleged violation of these Terms or applicable law;
  • Any infringement or alleged infringement of intellectual property, privacy, or data protection rights of a third party; and
  • Any fraudulent, abusive, or negligent behavior by the User in connection with the Platform or its services.

7. Platform Responsibilities and Limitations

7.1 Service Availability

Vetly endeavors to provide continuous and reliable access to the Platform and its AI-based services. However, availability may be affected by maintenance, upgrades, network failures, or events beyond Vetly's reasonable control. While Vetly strives to minimize disruption, it does not guarantee uninterrupted operation or error-free performance. Access to specific tools or features may be restricted, suspended, or discontinued at any time to maintain technical integrity or comply with legal obligations. Users acknowledge that occasional downtime or performance fluctuations are inherent to online services and do not entitle them to compensation or refunds.

7.2 Data Protection and Security

Vetly is committed to safeguarding User data in accordance with the Law on the Protection of Personal Data (KVKK), the General Data Protection Regulation (GDPR), and other applicable privacy frameworks. The Platform employs encryption, secure access controls, and risk-based data management practices to protect personal information.

However, Users understand that no online system is entirely immune to security breaches, and Vetly cannot guarantee absolute data security. In the event of a data incident, Vetly will take prompt remedial measures and, where required by law, notify affected Users and authorities. Users are responsible for maintaining the confidentiality of their credentials and ensuring that uploaded content does not expose sensitive personal information of third parties without proper consent.

7.3 Disclaimer of Liability for AI Outputs

AI-generated guidance made available through Vetly is produced by automated computational processes. Vetly does not control, predict, or intervene in the specific content of AI-generated responses. Accordingly, guidance may vary in accuracy, relevance, and consistency, and may occasionally include incomplete or inaccurate information.

To the maximum extent permitted by applicable law, Vetly and all AI-based services are provided "as is," "as available," and "with all faults." Vetly, its affiliates, licensors, and service providers make no warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, or reliability of results.

Vetly shall not, under any circumstances, be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to: (a) the use of or inability to use the Platform or its AI guidance services; (b) errors, inaccuracies, or limitations in AI-generated guidance; (c) reliance on Platform guidance in lieu of professional veterinary care; (d) unauthorized access, hacking incidents, or data breaches; (e) service interruptions, delays, or software malfunctions; or (f) failures or outages of third-party integrations.

In jurisdictions that do not permit the exclusion or limitation of certain implied warranties or liabilities, Vetly's total cumulative liability arising from or related to the use of the Platform shall in no event exceed the total amount paid by the User for subscription services in the three (3) months preceding the event giving rise to the claim.

No advice, guidance, or information, whether oral or written, obtained by the User from Vetly or through the Platform shall create any warranty, guarantee, or representation not expressly stated in these Terms.

8. Data Privacy and Processing

8.1 Data Collection and Purpose

For further information regarding data collection, processing, storage, and your rights, please refer to the Privacy Policy and Cookie Policy documents available on Vetly.

8.2 Pet Health Data

In addition to standard account and usage data, Vetly collects and processes pet health information, including species, age, breed, weight, known medical conditions, and symptom descriptions submitted by Users. This data is used exclusively to provide personalized AI guidance, improve the Platform's AI models, and maintain symptom tracking histories for Premium Users. Vetly treats pet health data with the same care and security measures applied to personal data and does not sell or share such data with third parties for commercial purposes except as disclosed in its Privacy Policy.

8.3 Uploaded Photos and Documents

Photos and documents uploaded by Users are processed by Vetly's AI systems solely for the purpose of delivering the requested visual guidance. Vetly may retain uploaded materials temporarily in accordance with its data retention policy. Users may request deletion of their uploaded content by contacting Vetly at support@vetly.online.

8.4 User Rights

For further information on how to exercise your rights of access, rectification, erasure, restriction of processing, and data portability, please refer to the Privacy Policy available on Vetly. Users may submit requests via email to support@vetly.online. Vetly will respond within the applicable statutory deadlines.

8.5 Compliance with KVKK and GDPR

Vetly processes personal data in strict accordance with the Law on the Protection of Personal Data (No. 6698 – KVKK), the EU General Data Protection Regulation (GDPR), and relevant international standards. The lawful bases for processing include:

(a) necessity for the performance of a contract; (b) compliance with legal obligations; (c) protection of legitimate interests pursued by Vetly or third parties; and (d) consent provided by the User where applicable.

Users have the right to lodge complaints with their local data protection authority or, in Turkiye, with the Personal Data Protection Authority (Kisisel Verileri Koruma Kurumu – KVKK) if they believe their data has been mishandled.

9. Intellectual Property Rights

9.1 Platform Content

All materials available on Vetly — including but not limited to the website design, graphical elements, user interface, layout, text, illustrations, animations, icons, images, source code, software frameworks, databases, documentation, and other proprietary components — are the exclusive property of Vetly or its licensors. These materials are protected under applicable copyright, trademark, patent, and trade secret laws.

Users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform and its services strictly for personal use in accordance with these Terms. This license does not include any rights to copy, reproduce, or redistribute Platform content; modify or create derivative works of Vetly's software or documentation; reverse-engineer or decompile any part of the Platform; or circumvent access controls or proprietary security mechanisms.

9.2 Trademarks and Branding

All logos, trademarks, service marks, trade names, and branding elements appearing on the Platform, including without limitation the "Vetly" name and logo, are and shall remain the exclusive property of Vetly or its affiliates. Users are strictly prohibited from using, reproducing, or otherwise exploiting Vetly's trademarks or branding materials without prior written authorization.

9.3 AI Output Ownership

Subject to compliance with these Terms and all applicable laws, Users shall retain usage rights over AI-generated guidance outputs received through their lawful use of Vetly. However, Users acknowledge that AI-generated guidance outputs are informational content, not original creative works, and may not qualify for intellectual property protection in all jurisdictions. The underlying AI models, algorithms, and interfaces remain the exclusive property of Vetly or its licensors.

10. Limitation of Liability

10.1 Platform as an AI Guidance Tool

Vetly operates solely as a technological intermediary that facilitates access to AI-based pet health guidance tools. The Platform provides a technical environment for Users to receive informational guidance but does not function as a veterinary service provider, medical content publisher, or licensed healthcare entity.

10.2 Exclusions and Limitations

To the maximum extent permitted by law, Vetly, its affiliates, employees, and licensors disclaim all liability for any form of loss, damage, or injury, whether direct, indirect, incidental, consequential, exemplary, or punitive, arising out of or related to: the use of or inability to use the Platform or its AI guidance services; reliance on AI-generated guidance in lieu of professional veterinary care; errors, inaccuracies, or limitations in AI-generated outputs; unauthorized access, hacking incidents, or data breaches; service interruptions, delays, bugs, or software malfunctions; failures or outages of third-party integrations; or data loss, corruption, or deletion of content.

In no event shall Vetly's total aggregate liability to any User exceed the total amount paid by that User for subscription services within the three (3) months immediately preceding the event giving rise to the claim.

10.3 Indemnification

Users agree to indemnify, defend, and hold harmless Vetly, its affiliates, officers, directors, employees, agents, licensors, and service partners from and against any and all claims, demands, actions, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: the User's use or misuse of the Platform or AI guidance services; any violation of these Terms or applicable law; any breach of intellectual property, privacy, or proprietary rights by the User; or misuse of third-party intellectual property accessed via the Platform.

11. Termination and Account Closure

11.1 Termination by User

Users may terminate their Vetly account at any time by following the in-platform deletion process or by submitting a written request to support@vetly.online. Upon termination, all access to the Platform and associated services will cease immediately. Any active Premium subscription will be cancelled at the end of the current billing cycle, and no partial refunds will be issued. Any stored data, pet profiles, or AI-generated guidance history may be permanently deleted in accordance with Vetly's data retention policy.

11.2 Termination by Platform

Vetly reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate a User's account for reasons including, but not limited to:

  • Violation of these Terms or other applicable policies;
  • Use of the Platform for illegal, unethical, or harmful purposes;
  • Fraudulent transactions, payment reversals, or chargebacks;
  • Interference with Platform operations or security systems; or
  • Compliance with legal, regulatory, or governmental orders.

In the event of termination for cause, all subscription access associated with the User's account may be forfeited without refund or compensation. Vetly shall not be liable for damages resulting from suspension or termination.

11.3 Consequences of Termination

Upon termination, all rights and licenses granted under these Terms shall immediately cease. Any obligations that by their nature are intended to survive termination — including those related to intellectual property, limitation of liability, indemnification, and dispute resolution — shall remain in full effect. Termination of an account does not prevent Vetly from pursuing civil or criminal remedies against Users who have violated these Terms or applicable law.

12. Dispute Resolution and Governing Law

12.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkiye, without regard to its conflict of law principles. Users accessing the Platform from other jurisdictions do so voluntarily and are responsible for compliance with local laws where applicable.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to the use of the Platform, the subscription services, AI-generated guidance, or the interpretation and performance of these Terms, the parties shall first seek to resolve the matter amicably through negotiation. Users are encouraged to contact support@vetly.online to initiate an internal resolution process before pursuing any formal remedy.

If the dispute cannot be resolved amicably within thirty (30) days, the applicable forum for resolution shall depend on the status of the User as defined under Turkish law:

(a) For Consumer Users: If the User qualifies as a "consumer" within the meaning of the Turkish Consumer Protection Law (Law No. 6502), disputes shall first be submitted to the Consumer Arbitration Committee (Tuketici Hakem Heyeti) with jurisdiction over the User's place of residence or the place where the transaction occurred, in accordance with the monetary limits and procedures established by the Regulation on Consumer Arbitration Committees issued by the Ministry of Trade of the Republic of Turkiye.

(b) For Commercial or International Users: If the User does not qualify as a "consumer" under Turkish law, any dispute arising out of or in connection with these Terms shall be finally settled by arbitration under the Istanbul Arbitration Centre (ISTAC) Arbitration Rules. The arbitration shall be conducted in English or Turkish, as determined by Vetly. The seat of arbitration shall be Istanbul, Turkiye. The arbitral tribunal shall consist of one (1) arbitrator appointed in accordance with ISTAC rules.

Nothing in this clause shall limit or restrict any mandatory legal rights available to consumers under Turkish or international law.

12.3 Alternative Dispute Resolution

Before initiating formal legal proceedings, the parties shall make reasonable efforts to resolve disputes amicably through negotiation or mediation. Vetly may, at its discretion, propose mediation via an independent dispute resolution service based in Turkiye. Participation in such procedures shall not prejudice the right of either party to later seek judicial remedies.

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with Vetly's Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between the User and Vetly concerning the use of the Platform and supersede all prior understandings, communications, or agreements, whether written or oral.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid term that most closely reflects the intent of the original.

13.3 Waiver

No waiver by Vetly of any term, breach, or default shall be deemed a waiver of any subsequent breach or of the same or similar nature unless expressly stated in writing. Failure to enforce a provision shall not constitute a waiver of rights.

13.4 Assignment

Users may not assign, transfer, or delegate any rights or obligations under these Terms without Vetly's prior written consent. Vetly may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer as part of a merger, reorganization, or sale of assets, provided such transfer does not diminish the rights of Users.
